TOPIC: Restructuring in the PRC in the Era of Muddy Waters: The Sino-Forest Case
Neil will present a case study on the collapse and subsequent restructuring of Sino-Forest Corporation ("SFC"), a Toronto listed forestry company with assets in China. SFC collapsed after a damning short seller's report, owing shareholders over USD4 billion and bondholders USD1.8 billion. Neil acted for the bondholder committee and now acts for the restructured vehicle, which is owned by the bondholders. Neil will look at what went wrong; what impact it had on shareholders, creditors, and directors and officers; and what lessons can be learned. It will be a useful session for any in-house lawyer as it will touch on key subjects such as insolvency and fraud warning signs; fiduciary and directors' duties; fraud and regulatory investigations.

Neil McDonald is a partner of Hogan Lovells in Hong Kong and the head of Business Restructuring and Insolvency practice in Asia. He has been involved in a wide range of matters in Asia in respect of the restructuring and insolvency of distressed companies. Neil acts for financial institutions, insolvency appointment holders, turnaround management firms, hedge funds and private equity firms.
Neil advises clients on all aspects of financial distress including consensual workouts, shareholder disputes, liquidations, receivership's and other enforcement options including litigation. He also advises clients on the proprietary acquisition of distressed businesses and assets.
