The objective of this seminar is to provide participants with a better understanding of the "standard" clauses in commercial agreements which can become extremely contentious if disputes arise and proper wordings were not put in place during the drafting stage. The seminar will also discuss some recent cases involving such clauses so that participants can better understand how the court approaches such clauses in the event of disputes.



Soo Khim Keoy, Partner. Soo Khim is experienced in complex corporate commercial disputes, joint venture and shareholders’ disputes, contentious insolvency proceedings, arbitration, compliance and regulatory issues, including investigations, enforcement and disciplinary actions. Soo Khim is adept at providing client-tailored strategies and solutions. He was recognized by Legal 500 as one who “quickly identifies crucial points of disputes and associated risks”.

Soo Khim has represented listed companies and financial institutions in complex commercial disputes in Court, at trial and at the appellate level, up to the Court of Final Appeal, and in investigations involving the Hong Kong Stock Exchange, the Securities and Futures Commission and the Financial Reporting Council.


Angela Law, Special Counsel. Angela has a broad civil litigation and dispute resolution practice, including banking, regulatory, contractual, company, trust and probate matters.  She is experienced in handling various types of civil litigation cases at different levels of the Hong Kong courts and has acted for banks, companies, trustees, executors, family offices and ultra-high net worth individuals.

Angela has been involved in some of the most high profile trust and probate cases before the Hong Kong court as part of a team involving trustees and executors with novel and complex issues. She has also advised trustees and executors on issues relating to the administration of trusts and estates and advised clients in offshore court proceedings. 

  Amanda Xi, Associate. Amanda's practice covers a broad range of areas including commercial litigation, corporate compliance and regulatory matters. She has advised clients in relation to cross-border court proceedings, banking litigation, FCPA-related issues, bribery and corruption risks, and SFC investigations. She also served as a Judicial Assistant at the Court of Final Appeal, where she gained valuable insights into the appellate process through working with the CFA judges.
